NOTICE: THIS LICENSE AGREEMENT IS A BINDING CONTRACT BETWEEN AFA PRODUCTS GROUP, INC. ("AFA") AND YOU AS THE PURCHASER OF HARDWARE THAT INCLUDES THE TRAXIM SOFTWARE("TRAXIM") OR AS A PURCHASER OF A LICENSE FOR TRAXIM, WHICH CONTRACT GOVERNS YOUR RIGHTS AND OBLIGATIONS WITH RESPECT TO TRAXIM AND THE ANY ACCOMPANYING DOCUMENTATION. YOUR ACCEPTANCE OF THIS LICENSE AGREEMENT MAY BE EXPRESSED BY EITHER YOUR OPENING OF THE PACKAGING ENCLOSING THE TRAXIM MEDIA, THE USE OF TRAXIM, OR YOUR WRITTEN ACCEPTANCE.

This agreement covers your use of the Traxim software ("the Program") provided by AFA Products Group, Inc. ("AFA").

1.License Grant

1.1  AFA owns the intellectual property rights in the Program.  AFA delivers the Program to you, the licensee, as a download or CD.  AFA grants to you a non-exclusive license for single copy you’re authorized to download.  Each copy is to be used on a single machine, on the premises that you have informed us of.  Any other copying or use is prohibited. The Program is delivered to you in object-code, which you will not decompile or reverse-engineer.

1.2  The fee and payment terms for the Program are specified on the web page.

1.3  Any updates or upgrades to the Program, whether free or purchased, will be covered by this agreement.

1.4  You may not transfer your right to use the Program except to a successor in interest of your entire business, who assumes your obligations under this agreement.

2.  Support - AFA will support the Program as specified on the face-sheet.

3.  Export - If this license allows you to use the Program on premises outside the United States, then you will comply with applicable export laws of the United States and other jurisdictions.

4.  Termination - This agreement is effective on the date shown on the face-sheet.  AFA may terminate your license if you breach it.  As your breach may not be compensable by damages, AFA will be entitled to an injunction, without limiting its other remedies.  On termination, you will, at AFA’s direction, return or destroy all copies of the Program, and certify that you have done so.

5.  Warranty - AFA DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, AND FITNESS FOR A PARTICULAR PURPOSE, EXCEPT THOSE IN THE ACCOMPANYING AFA WARRANTY.

6.  Liability - AFA’S CUMULATIVE LIABILITY FOR ANY TYPE OF CLAIM WILL NOT EXCEED THE TOTAL PRICE YOU PAID TO USE THE PROGRAM.  THIS LIMITATION IS MEANT TO APPLY REGARDLESS WHETHER OTHER PROVISIONS OF THIS AGREEMENT HAVE BEEN BREACHED OR PROVEN INEFFECTIVE.  AFA SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, OR CONSEQUENTIAL DAMAGES; OR ANY CLAIMS BROUGHT AGAINST YOU, EVEN IF ADVISED OF THEIR POSSIBILITY.

7. Governmental Use - If licensee is the United States government, then the following legend applies:

RESTRICTED RIGHTS - Use, duplication or disclosure by the government is subject to restrictions in subparagraph (c) (I) (ii) of the Rights in Technical Data and Computer Software clause at DFARS 252.227-7013, Licensor is AFA Products Group, Inc., 100 Stonehurst Court, Northvale, New Jersey 07647.

8.  General - This document, is the entire agreement between you and AFA for use of the Program.  Any modification must be in writing, signed by both parties. Any provision found unenforceable will not impair the other provisions.  This agreement is governed by New Jersey law, disregarding choice-of-law principles.  New Jersey will have jurisdiction of any dispute.
